1. Acceptance of Terms

By accessing, using, or purchasing any products or services from Valve-Atlas (“Valve-Atlas”, “we”, “our”, “us”), you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must discontinue use of our website and services immediately.

These Terms apply to all orders, transactions, quotations, and communications with Valve-Atlas.


3. Use of Website & Services

Customers may use Valve-Atlas products and services solely for lawful, professional, and commercial purposes.
The following are strictly prohibited:

  • Unauthorized access or data scraping

  • Reverse engineering of website systems

  • Interference with service operations

  • Misuse of technical documents or certifications

Valve-Atlas reserves the right to refuse service to any individual or entity for non-compliance.


4. Product Information & Specifications

Valve-Atlas supplies industrial valves, fittings, fire protection components, and engineering-related materials sourced from international partners.

All product specifications, certifications, dimensions, and technical details:

  • Are provided for informational purposes

  • May change without notice due to manufacturer updates

  • May vary depending on region, regulatory requirements, or availability

Valve-Atlas is not responsible for errors, misprints, or outdated specifications.


5. Quotations & Orders

5.1 Quotations

  • All quotations are valid only for the period noted on the document.

  • Pricing may change due to market conditions, freight rates, or supply fluctuations.

5.2 Order Acceptance

An order is considered accepted only after:

  • Written confirmation from Valve-Atlas

  • Receipt of payment (unless otherwise agreed)

We reserve the right to reject or modify orders at our discretion.

5.3 Custom or Special-Order Products

Custom-engineered or special-order items may require deposits, extended lead times, and are non-refundable.


6. Pricing & Payment Terms

Unless explicitly stated:

  • Prices exclude taxes, duties, brokerage fees, tariffs, and freight charges.

  • Payment must be made prior to shipment unless credit terms have been approved.

  • Late payments may incur interest and administrative fees.

Valve-Atlas reserves the right to withhold shipment until balances are cleared.


7. Shipping & Delivery

7.1 Shipping Responsibility

Valve-Atlas arranges shipments using trusted carriers and freight partners. Risk transfers to the customer:

  • Upon pickup (FOB Origin), or

  • Upon delivery (if agreed in writing)

7.2 Delivery Estimates

All delivery dates are estimates and subject to:

  • Carrier delays

  • Customs inspections

  • Weather conditions

  • Port congestion

  • Global supply chain disruptions

Valve-Atlas is not liable for delays beyond its control.


8. Inspection, Damages & Shortages

Customers must inspect all shipments immediately upon receipt.

  • Visible damages must be reported within 48 hours

  • Concealed damages must be reported within 5 business days

Claims require:
Photos, packing lists, invoice number, and carrier documentation.

Failure to report within the specified timeframe voids the claim.


9. Returns & Refunds

Returns require a formal Return Merchandise Authorization (RMA) number.

Non-returnable items include:

  • Custom-engineered products

  • Special-order valves and fittings

  • Fire protection components that have been installed

  • Items damaged by misuse or improper installation

Restocking fees (typically 15–25%) may apply.

Refunds are issued only after inspection and approval.


10. Warranty

Warranty coverage is provided by the manufacturer unless otherwise stated.
Valve-Atlas will facilitate warranty submissions but does not guarantee outcomes.

Warranty does not cover:

  • Improper installation

  • Misuse or unauthorized modifications

  • Operating conditions outside manufacturer limits


11. Limitation of Liability

To the maximum extent permitted by law:

  • Valve-Atlas is not liable for indirect, incidental, or consequential damages

  • Valve-Atlas is not liable for loss of profit, production downtime, or business interruption

  • Valve-Atlas’s total liability is limited to the purchase price of the product in question

These limitations apply regardless of the form of action.


12. Intellectual Property

All content, logos, images, documents, product descriptions, and website materials are the exclusive property of Valve-Atlas and may not be copied, modified, or reproduced without written authorization.


13. Compliance & Export Controls

Customers are responsible for complying with:

  • Local and international trade regulations

  • Import/export laws

  • Certification requirements for installation

  • Fire protection and plumbing code standards

Valve-Atlas is not liable for non-compliance by the customer or installer.


14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
Any disputes shall be resolved exclusively in Ontario courts.


15. Amendments

Valve-Atlas may modify or update these Terms at any time without prior notice.
Continued use of the Website or Services constitutes acceptance of the updated Terms.
