By accessing, using, or purchasing any products or services from Valve-Atlas<\/strong> (\u201cValve-Atlas\u201d, \u201cwe\u201d, \u201cour\u201d, \u201cus\u201d), you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions (\u201cTerms\u201d). If you do not agree, you must discontinue use of our website and services immediately.<\/p>

These Terms apply to all orders, transactions, quotations, and communications with Valve-Atlas.<\/p>

3. Use of Website & Services<\/strong><\/h2>

Customers may use Valve-Atlas products and services solely for lawful, professional, and commercial purposes.
The following are strictly prohibited:<\/p>

  • Unauthorized access or data scraping<\/p><\/li>

  • Reverse engineering of website systems<\/p><\/li>

  • Interference with service operations<\/p><\/li>

  • Misuse of technical documents or certifications<\/p><\/li><\/ul>

    Valve-Atlas reserves the right to refuse service to any individual or entity for non-compliance.<\/p>

    4. Product Information & Specifications<\/strong><\/h2>

    Valve-Atlas supplies industrial valves, fittings, fire protection components, and engineering-related materials sourced from international partners.<\/p>

    All product specifications, certifications, dimensions, and technical details:<\/p>

    • Are provided for informational purposes<\/p><\/li>

    • May change without notice due to manufacturer updates<\/p><\/li>

    • May vary depending on region, regulatory requirements, or availability<\/p><\/li><\/ul>

      Valve-Atlas is not responsible for errors, misprints, or outdated specifications.<\/p>

      5. Quotations & Orders<\/strong><\/h2>

      5.1 Quotations<\/strong><\/h3>

      • All quotations are valid only for the period noted on the document.<\/p><\/li>

      • Pricing may change due to market conditions, freight rates, or supply fluctuations.<\/p><\/li><\/ul>

        5.2 Order Acceptance<\/strong><\/h3>

        An order is considered accepted only after:<\/p>

        • Written confirmation from Valve-Atlas<\/p><\/li>

        • Receipt of payment (unless otherwise agreed)<\/p><\/li><\/ul>

          We reserve the right to reject or modify orders at our discretion.<\/p>

          5.3 Custom or Special-Order Products<\/strong><\/h3>

          Custom-engineered or special-order items may require deposits, extended lead times, and are non-refundable<\/strong>.<\/p>

          6. Pricing & Payment Terms<\/strong><\/h2>

          Unless explicitly stated:<\/p>

          • Prices exclude taxes, duties, brokerage fees, tariffs, and freight charges.<\/p><\/li>

          • Payment must be made prior to shipment unless credit terms have been approved.<\/p><\/li>

          • Late payments may incur interest and administrative fees.<\/p><\/li><\/ul>

            Valve-Atlas reserves the right to withhold shipment until balances are cleared.<\/p>

            7. Shipping & Delivery<\/strong><\/h2>

            7.1 Shipping Responsibility<\/strong><\/h3>

            Valve-Atlas arranges shipments using trusted carriers and freight partners. Risk transfers to the customer:<\/p>

            • Upon pickup (FOB Origin), or<\/p><\/li>

            • Upon delivery (if agreed in writing)<\/p><\/li><\/ul>

              7.2 Delivery Estimates<\/strong><\/h3>

              All delivery dates are estimates<\/strong> and subject to:<\/p>

              • Carrier delays<\/p><\/li>

              • Customs inspections<\/p><\/li>

              • Weather conditions<\/p><\/li>

              • Port congestion<\/p><\/li>

              • Global supply chain disruptions<\/p><\/li><\/ul>

                Valve-Atlas is not liable for delays beyond its control.<\/p>

                8. Inspection, Damages & Shortages<\/strong><\/h2>

                Customers must inspect all shipments immediately upon receipt.<\/p>

                • Visible damages must be reported within 48 hours<\/strong><\/p><\/li>

                • Concealed damages must be reported within 5 business days<\/strong><\/p><\/li><\/ul>

                  Claims require:
                  Photos, packing lists, invoice number, and carrier documentation.<\/p>

                  Failure to report within the specified timeframe voids the claim.<\/p>

                  9. Returns & Refunds<\/strong><\/h2>

                  Returns require a formal Return Merchandise Authorization (RMA)<\/strong> number.<\/p>

                  Non-returnable items include:<\/strong><\/h3>

                  • Custom-engineered products<\/p><\/li>

                  • Special-order valves and fittings<\/p><\/li>

                  • Fire protection components that have been installed<\/p><\/li>

                  • Items damaged by misuse or improper installation<\/p><\/li><\/ul>

                    Restocking fees (typically 15\u201325%) may apply.<\/p>

                    Refunds are issued only after inspection and approval.<\/p>

                    10. Warranty<\/strong><\/h2>

                    Warranty coverage is provided by the manufacturer unless otherwise stated.
                    Valve-Atlas will facilitate warranty submissions but does not guarantee outcomes.<\/p>

                    Warranty does not cover:<\/p>

                    • Improper installation<\/p><\/li>

                    • Misuse or unauthorized modifications<\/p><\/li>

                    • Operating conditions outside manufacturer limits<\/p><\/li><\/ul>

                      11. Limitation of Liability<\/strong><\/h2>

                      To the maximum extent permitted by law:<\/p>

                      • Valve-Atlas is not liable<\/strong> for indirect, incidental, or consequential damages<\/p><\/li>

                      • Valve-Atlas is not liable<\/strong> for loss of profit, production downtime, or business interruption<\/p><\/li>

                      • Valve-Atlas\u2019s total liability is limited to the purchase price<\/strong> of the product in question<\/p><\/li><\/ul>

                        These limitations apply regardless of the form of action.<\/p>

                        12. Intellectual Property<\/strong><\/h2>

                        All content, logos, images, documents, product descriptions, and website materials are the exclusive property of Valve-Atlas and may not be copied, modified, or reproduced without written authorization.<\/p>

                        13. Compliance & Export Controls<\/strong><\/h2>

                        Customers are responsible for complying with:<\/p>

                        • Local and international trade regulations<\/p><\/li>

                        • Import\/export laws<\/p><\/li>

                        • Certification requirements for installation<\/p><\/li>

                        • Fire protection and plumbing code standards<\/p><\/li><\/ul>

                          Valve-Atlas is not liable for non-compliance by the customer or installer.<\/p>

                          14. Governing Law<\/strong><\/h2>

                          These Terms are governed by the laws of the Province of Ontario<\/strong> and the federal laws of Canada<\/strong>.
                          Any disputes shall be resolved exclusively in Ontario courts.<\/p>

                          15. Amendments<\/strong><\/h2>

                          Valve-Atlas may modify or update these Terms at any time without prior notice.
